Issuer Onboarding to Invown
We are delighted that you are considering Invown to raise capital for your company, project, or real estate deal. Invown operates a registered funding portal regulated by FINRA, and we abide by all relevant securities regulations. Here are the steps to launch a successful raise on Invown.
- If you are also conducting a 506(c) offering on Invown, sign the 506(c) platform agreement: rebrand.ly/506cPlatform
- Sign the platform agreement for Reg CF on your plan: Syndicator, Starter, or Professional
- Set up an account on invown.com/app
- Complete the onboarding form: forms.gle/3q9AEYSvzL1gEUWG8
- Provide a copy of a government-issued ID for the principals — needed to open the escrow account. We will tell you how to submit it securely.
- Complete and sign a W-9
- Send us a deck and pro forma so we can confirm the deal is suitable for the marketplace — we will create the listing.
- Pay the onboarding fee.
- Create a Delaware LLC if you do not yet have an entity (our document templates work for Delaware and Texas LLCs) and send us proof of formation. If your entity is already formed, send us the formation documents.
- Obtain an EIN if you do not already have one: IRS EIN application
- Provide the EIN and proof of EIN (Form SS-4).
- Create an EDGAR account with the SEC by submitting a Form ID — SEC instructions
- Create an LLC Agreement — you can use our template by completing this form
- Fill out your Form C — Invown provides the template and access during onboarding.
- Complete the background-check form: rebrand.ly/backcheck
- Complete the FinCEN form: rebrand.ly/fincen
- Submit your Form C to the SEC through the EDGAR portal — Invown facilitates this.
- Finalize the content of your listing on Invown.com.
- Submit the formation documents, LLC agreement, EIN and W-9 of any management company.
- Escrow setup and background checks for the principals run in parallel — Invown sets up the escrow account.
- GO LIVE — accept investments.
